I. General Application
A. All communications with candidates, clients, and other offices shall be honest and truthful.
B. All laws and regulations relating to equal employment opportunity shall be obeyed.
C. The candidate's employment background and qualifications shall be accurately presented.
D. No promises shall be made to candidates or clients that the promisor cannot or does not intend to keep.
E. Other offices and their employees shall not be defamed or disparaged in communications with anyone.
F. Your credentials shall not be misrepresented.
G. An office shall not knowingly misrepresent its capabilities or its relationship with MRI or other MRI offices.

II. Candidate Relations
A. A candidate who is also considering an opportunity with another company shall not be given false or misleading information about the other company to dissuade the candidate from accepting the position with the other company or to motivate the candidate to accept the position with your client. It is also improper to give the other company false or misleading information about the candidate for the same purpose.
B. Reference checks shall not be conducted without the candidate's permission as required by the Fair Credit Reporting Act.
C. Candidate information shall be used only in connection with your activities relating to the possible placement of the candidate. Confidential information will be treated appropriately.
D. Presentations made to candidates about positions shall be made from the best knowledge of the office's account executive or project coordinator.
E. Candidates shall not be involved in fee disputes other than asking them to provide information, including testimony, when necessary.
F. A candidate shall be counseled to not tender his or her resignation from the candidate's current position until the candidate has accepted a firm, unconditional offer from a prospective employer.
G. Resumes or CVs shall not be sent without the candidate's permission, unless the candidate is not identified in the resume or CV.
H. No fee shall be shared with a candidate when doing so would violate applicable laws or regulations.

III. Client Relations
A. An office shall inform its client companies of its service charges before accepting an assignment.
B. An office shall not recruit a candidate from a client company where the office placed the candidate, either directly or indirectly through another office. If such a candidate initiates a request to be placed elsewhere, you may discuss the reasons for the request in an attempt to resolve any problem between the candidate and the client. If the problem cannot be resolved, the candidate must only be provided placement assistance after the candidate has provided you with a signed acknowledgment that the candidate initiated the contact and requested the office's services.
C. Unsolicited resumes or CVs shall not be sent to prospective clients or other offices. An unsolicited resume or CV may be sent to an actual client only when the prior course of dealing with that client establishes that the receipt of such a resume will be welcomed.
D. Confidential information will be treated appropriately.
E. All relevant and reliable reference information, favorable and unfavorable, shall be shared with the client. Information protected from disclosure by law is not relevant.
F. An office shall not present a candidate to a client until it or its IOR partner has interviewed the candidate via telephone, or otherwise.

IV. Ethical Relations with Other MRI Offices, Account Executives, and Project Coordinators
A. The IOR Rules shall be honored. All agreements between offices, including those not subject to the IOR Rules, shall be honored in all respects, including agreements relating to referrals.
B. If a service fee is received from a company by mistake on an invoice issued by another office, the service fee shall be immediately sent to the office which issued the invoice or returned to the issuing company if the payment does not bear the name of the correct office. Such a payment shall not be deposited or retained, even if the office has a claim against the company for a fee.
C. Clients and candidates shall not be involved in any IOR disputes, except for the solicitation of information and statements which may be relevant to the resolution of the dispute.
D. Each office must respect the contractual, statutory, and common law rights which govern and protect the relationships between other offices and the other offices' employees. When an office is approached by an employee of another office about prospective employment, it is required that you consult with the other office to make sure that the other office's rights are not being violated. Offices are encouraged to resolve such situations by agreement, including compensation, when appropriate. No office or its employees shall attempt to directly or indirectly solicit or recruit for employment the employees of another MRI office, to the extent this restriction is lawful. In no event shall any office engage in such activity at an activity or meeting sponsored by MRI or any group of MRI offices.
E. An MRI office will not solicit an employee of MRI without the prior permission of MRI's President or Senior Vice President.
F. An office shall not assist or permit persons who are not their employees or agents to gain access to or utilize materials, databases, intranet websites, or services which are designed or intended for use only by MRI offices.
